ACCESS AGREEMENT FOR

ALUMINUM ANODIZERS COUNCIL

WEB FORUM

Introduction

Welcome to the Aluminum Anodizers Council Web Forum. AAC requires that each individual wishing to access the Web Forum comply with the Rules and other terms of this Agreement. Your continued access to the Web Forum is contingent on your agreement. You may acknowledge your acceptance by so indicating at the end of the Agreement, below. After you have entered into the Agreement, you may participate in the Web Forum.

Rules

  1. The Web Forum of the AAC Web site is provided as a service to those interested in the aluminum anodizing industry. Any information posted by participants must be related to the purposes of the Council.
  2. Participants shall exercise both common sense and courtesy when transmitting messages. Participants shall not use the Web Forum to transmit defamatory, disparaging, obscene or offensive materials or communications.
  3. Participants are prohibited from uploading or distributing articles, files, or other information subject to trademark, copyright, or other proprietary rights except with the express consent of the owner of the rights.
  4. Participants are prohibited from accessing the Web Forum to communicate with competitors or suppliers about prices, pricing procedures, or other terms of service or otherwise act in a manner that may violate federal or state antitrust laws. The same rules against illegal agreements in restraint of trade which apply to meetings of competitors apply to communications on the Web site. The Aluminum Anodizers Council Antitrust Compliance Guidelines, adopted by the Board of Directors on September 10, 1997, and attached hereto, apply to all participants in the Web Forum. You may request a copy of the Guidelines by contacting the Executive Office.
    Since Web site communications may be downloaded without the knowledge of the sender, participants should fully understand the antitrust laws as they apply to agreements among competitors and act in strict compliance with those laws.
  5. Posted information will not be treated as confidential. Responses to postings are not to be relied on as professional opinions or consultations.
  6. The Web Forum is not to be accessed to conduct any other activities that may be illegal. For example, the Web Forum shall not be used to encourage software infringement, spreading of computer viruses, breaking into private computer forums, gambling, or other crimes.
  7. The Web Forum is not to be used in a manner that violates the bylaws or any other policies, procedures, rules or regulations of AAC.
  8. Respect the security of the Web Forum. Participants shall not attempt to gain access to areas private to AAC or its members.

Limitation of Liability and Indemnity

AAC makes no warranty, guarantee, or representation as to the accuracy, sufficiency, or security of information posted or transmitted by participants and assumes no responsibility or liability in connection with the use or misuse of such information. NEVERTHELESS, AAC RETAINS THE RIGHT TO MONITOR POSTED INFORMATION AND REMOVE MESSAGES OR MATERIALS THAT IT BELIEVES ARE NOT IN THE BEST INTERESTS OF THE COUNCIL.

PARTICIPANTS HAVING ACCESS TO THE WEB FORUM SHALL INDEMNIFY AND HOLD AAC HARMLESS FROM AND AGAINST ANY AND ALL LIABILITY, CLAIMS, DAMAGES, LOSSES, COSTS AND EXPENSES (INCLUDING REASONABLE ATTORNEYS' FEES) RELATING TO ANY ACTS OR OMISSIONS OF THE PARTICIPANTS OR TO MATERIALS OR INFORMATION TRANSMITTED BY PARTICIPANTS IN CONNECTION WITH THE USE OF THE FORUM.

Choice of Law

This Agreement shall be governed in all respects by the laws of the State of Illinois irrespective of its choice of law rules. In addition, participants consent to be subject to the exclusive jurisdiction of the state and federal courts of Lake County, Illinois in the event of any dispute between the parties.

Amendment

AAC reserves the right to modify or change the rules of the Web Forum as it determines from time to time in the best interests of the Council, provided the participants are notified prior to any such change.
